Temerarii Studio - Producer Partnership — Participant Release and Agreement
What this covers, and when
You are signing as a producer partner. Phase One is a value barter: you produce the show with full-stack oversight of its streaming and broadcasting architecture, and the studio deploys its resources, marketing automations and skills for your operations. Client work then runs under Model A (referral) or Model B (white label), decided by how each client was acquired. This document covers appearance, the studio's deliverables, and confidentiality; the commercial terms of A and B - percentages and fixed prices - are in a separate signed schedule, never here:
- Phase One - the barter - producing the show and pressure-testing both parties' workflows before any live client account is touched. Broadcast.
- Model A - referral - the studio introduces; you contract and deliver directly; the studio's share is in the schedule.
- Model B - white label - the studio sells and manages under its brand; you deliver as the engineering arm at the fixed price in the schedule.
- Model C - joint offer - not active; a later document if delivery is proven.
- You re-affirm this if the models or your access materially change.

1 · APPEARANCE, LIKENESS AND MEDIA LICENSE
You are participating in a program that is broadcast live to the public, worldwide, across multiple platforms simultaneously, and recorded for later distribution.
You grant Temerarii Media LLC a perpetual, worldwide, irrevocable, royalty-free license to record, broadcast, stream, edit, reproduce and distribute your name, voice, likeness, screen share, and the work you perform during the program, in any medium now known or later developed, including promotional use.
You understand that live broadcast cannot be recalled once transmitted, and that third parties may capture and redistribute it outside Temerarii Media LLC's control.
You waive any right to inspect or approve the finished material, and any claim for defamation, invasion of privacy, or right of publicity arising from use consistent with this license.
2 · WORK MADE FOR HIRE AND ASSIGNMENT
All work you produce in connection with the program — code, configurations, templates, copy, designs, briefs, renders, documentation and derivatives — is created as work made for hire for Temerarii Media LLC.
To the extent any such work does not qualify as work made for hire, you irrevocably assign to Temerarii Media LLC all right, title and interest in it, including all intellectual property rights, and agree to execute any further documents reasonably needed to perfect that assignment.
This applies to all work produced during the program, including work from rounds you do not advance past.
You retain no license to reuse program work in your own portfolio except as expressly permitted in writing.
3 · CONFIDENTIALITY
You will have access to non-public information including system architecture, brand strategy and voice guidelines, unreleased campaigns and product drops, client identities, pricing, revenue figures, and the identities and performance of other participants.
You agree to keep all of it confidential during the program and for three (3) years afterward, and to use it only for performing your role.
This does not cover information that is public through no act of yours, that you can show you already held, or that you are legally compelled to disclose — provided you give Temerarii Media LLC prompt written notice at legal@temerarii.example before disclosing.
Nothing in this agreement prevents you from reporting suspected unlawful conduct to a government agency, or discussing your own pay and working conditions.
4 · NON-SOLICITATION
For twelve (12) months after your participation ends, you will not solicit Temerarii Media LLC's clients whom you learned of through the program, nor recruit Temerarii Media LLC's personnel or other participants away from Temerarii Media LLC.
This does not restrict you from working for any competitor, from general advertising not targeted at Temerarii Media LLC's clients or personnel, or from responding to someone who approaches you first.
5 · BROADCAST CONDUCT AND PLATFORM COMPLIANCE
While appearing, you will comply with the terms of service of every platform the program is transmitted to, and will not: play copyrighted music through your microphone; display credentials, client names, or unreleased material on screen; or engage in conduct that would place Temerarii Media LLC's channels at risk of suspension.
You will not disclose on air any information marked confidential under Section 3.
If your conduct causes a platform strike, takedown or suspension against Temerarii Media LLC's channels, you may be responsible for resulting damages.
You may request a pause in recording at any time. Temerarii Media LLC will make reasonable efforts to honor it, but cannot retract material already transmitted live.
6 · TERM, TERMINATION AND PAYMENT
This is an independent contractor engagement, not employment. Nothing here creates an employment relationship, a partnership, or an obligation to engage you for any minimum period.
Temerarii Media LLC may end the program, or your participation in it, at any time and for any reason or no reason, including ending the program in its entirety before the scheduled final week. No advance notice is required.
If that happens, you are paid for everything up to that point. Compensation is calculated pro rata by the day, through and including the last day you participated, at the rate in effect for the round you were in at the time. Payment is made on the normal published pay calendar for the period in which termination falls.
Work you delivered and that was accepted is paid in full, whether or not the program continues and whether or not you advance.
You may also end your participation at any time. If you do, the same calculation applies: you are paid pro rata by the day through your last day of participation, and no penalty or clawback applies.
You understand that advancing through a round is not a promise of future engagement, that the ongoing role offered after the program is a separate agreement on its own terms, and that no representation has been made to you about the total amount you will earn.
